The virtual machine is shut down by the hypervisor. The virtual machine is informed that the virtual hardware is shutting down once the hypervisor traps the command. The guest OS will be correctly shutdown with a shutdown as opposed to a power off, and this can only be done if VMware Tools are installed and active in the VM.
