Once that's done you have to date and initial term of the agreement so to simplify that means each party's responsibilities and if there were any additional warranties or promises you have to include that as well. After that you have to write how many days each party has to correct any problem. Then write who will own any intellectual property created by either party ( if/or) whether both parties can be excused from obligations due to causes beyond their control ( if/or) any arbitration, assignment, and non-disclosure clauses.
