michael is aware that is about to buy some land near santa clara university to build a major facility at which many employees will work daily. he offers to buy nearby land from brandon, his father. he says nothing to brandon about the deal. the deal is closed and the value of the land doubles shortly thereafter. brandon sues to rescind arguing that michael's failure to disclose constituted fraud under the circumstances. michael defends by saying that he and his father have cheated each other numerous times in the past, so their relationship is not one of trust and confidence. who wins?
